SUMMARY OF BENEFITS

1st Quarter, 2010

Converge Networks Corporation (CNC) is a rapidly growing information technology services firm and specializes in networking, wireless, IP telephony and security services and web applications. The following benefits are available to our full-time employees:

1.    Base salary and other job specific compensation

2.    Personal Leave – Up to ten (10) days or 80 hours of personal leave per year. A maximum of 80 hours can accumulate during continuous employment. Accrues with each pay period (based on semi-monthly payroll on the 7th and 22nd of the month.

3.    Sick Leave - Up to five (5) days or 40 hours of sick leave per year. A maximum of 40 hours can accumulate during continuous employment. Accrues with each pay period (based on semi-monthly payroll on the 7th and 22nd of the month).

4.    Holidays - Ten (10) CNC holidays per calendar year for corporate employees. Applicable client holidays while on site.

5.    401(k) plan - CNC matches up to 4.5% of gross salary against employee contributions not to exceed a maximum match of $5K per employee. Annual employee statutory contribution limit in 2009 of $16.5K for employees under 50 and an additional annual catch-up contribution of $5.5K for employees 50 and over. Company match vested after 5 years of continuous employment. Vesting subject to 401k plan in place.

6.    CareFirst BCBS Group Health Insurance with Prescription Drug, Vision, and  Dental/Orthodontics (BluePreferred PPO P206, BlueChoice Open Access HW05).

7.    Life Insurance - No cost to employee on the base amount.  Additional life insurance purchasable by employee.

8.    Group Long Term Disability - No cost to employee

9.    Group Short Term Disability - No cost to employee

10.  Direct Deposit (one or two deposit accounts)

11.  Flexible Spending Account

12. Tuition assistance per corporate policies

13.  Employee assistance per corporate policies

14.  Stock Option Plan (when in place)

15.  529 College Savings Plan (when in place)
